Edgegap Partner Program Agreement

This Partner Program Agreement (the "Agreement") is between Edgegap Technologies Inc. ("Edgegap", "we", "us") and the company or individual joining the Edgegap Partner Program ("Partner", "you"). By creating a partner account, you agree to these terms.

1. The program

1.1 The Edgegap Partner Program lets approved partners refer game studios and other businesses ("Customers") to Edgegap's products and services.

1.2 When your account is activated, Edgegap gives you a unique partner ID and referral link. A Customer is attributed to you if they sign up for Edgegap with your referral link and meet the attribution rules Edgegap publishes from time to time.

1.3 Joining the program does not create any exclusivity, and it does not guarantee any minimum number of referrals or any minimum compensation.

2. Your obligations

2.1 You will give accurate information when you sign up and keep it up to date.

2.2 You will describe Edgegap's products accurately and will not make any promise, warranty or commitment on Edgegap's behalf.

2.3 You will follow all applicable laws, including anti-spam, consumer-protection, privacy and anti-corruption laws, when you promote Edgegap.

2.4 You will not:

  • use your own referral link to sign yourself up, or ask others to do so to generate attribution;
  • bid on Edgegap trademarks in paid search, or register domains or social accounts that could be confused with Edgegap;
  • use misleading, fraudulent or unsolicited bulk marketing;
  • give your partner account credentials to any third party.

3. Attribution and reporting

3.1 Edgegap decides attribution in its sole discretion, based on its own records. Those records are final unless there is a manifest error.

3.2 Edgegap reports the revenue generated by attributed Customers in the partner portal, usually once a month. Figures may be adjusted for refunds, credits, chargebacks or billing corrections.

4. Compensation

4.1 Any compensation, revenue share, term or incentive is set out in a separate written agreement or order between you and Edgegap (the "Commercial Terms"). If there are no Commercial Terms, no compensation is owed.

4.2 You are responsible for all taxes on any compensation you receive. You must give Edgegap a valid tax ID when Edgegap asks for one.

5. Brand use

5.1 While this Agreement is in force, Edgegap grants you a limited, non-exclusive, non-transferable and revocable licence to use Edgegap's name and logos, only to promote Edgegap and only in line with Edgegap's brand guidelines.

5.2 You may not represent yourself as Edgegap, or as an official reseller or agent of Edgegap, unless Edgegap agrees in writing.

6. Confidentiality and data

6.1 Each party will keep the other party's non-public information confidential, and will use it only for the purposes of the program.

6.2 Edgegap processes the personal data in your partner account as described in the Edgegap Privacy Policy. You can ask for a copy of your data, or for it to be deleted, at any time.

7. Term and termination

7.1 This Agreement starts when you create your partner account. It continues until either party ends it by giving written notice, which can be by email.

7.2 Edgegap may suspend or end your participation immediately if you breach this Agreement or act in a way that could harm Edgegap or its Customers.

7.3 Sections 3.1, 4.2, 6 and 8 survive termination.

8. General

8.1 Limitation of liability. To the maximum extent permitted by law, neither party is liable for any indirect, incidental or consequential damages. Edgegap's total liability under this Agreement will not exceed the compensation paid to you in the twelve months before the claim.

8.2 Independent parties. The parties are independent contractors. This Agreement does not create a partnership, joint venture, agency or employment relationship.

8.3 Changes. Edgegap may update this Agreement. It will tell you about material changes by email or in the partner portal. If you keep taking part in the program after a change takes effect, you accept the updated Agreement.

8.4 Governing law. This Agreement is governed by the laws of the Province of Quebec and the federal laws of Canada that apply there.
